1. Acceptance & parties
These Terms of Service ("Terms") are a binding agreement between you (or the entity you represent) and Tūhono Platform ("Tūhono", "we", "us"), a service operated by Haumaru. By creating an account, accessing, or using the Tūhono service, you agree to these Terms. If you don't agree, don't use the service.
2. Accounts & workspaces
- You must provide accurate information when creating an account.
- You are responsible for the activity of users you invite to your workspace, and for keeping credentials secure.
- You must be at least 16 years old (or the age of majority in your jurisdiction) to use Tūhono.
- Workspace owners are responsible for the lawfulness of the content their teams upload or process.
3. Acceptable use
You agree not to:
- Use Tūhono to violate any law or third-party right.
- Upload malware, phishing content, or material that infringes intellectual property.
- Attempt to disrupt, reverse-engineer, or gain unauthorised access to the service.
- Scrape, resell, or mirror the platform without our written permission.
- Use Tūhono to send spam, harass, or facilitate fraud.
We may suspend or terminate accounts that breach this section.
4. Subscriptions & billing
Paid plans renew automatically at the end of each billing period unless cancelled. Fees are billed in advance, are non-refundable except where required by law, and exclude taxes (which are added at checkout where applicable).
You can cancel a subscription at any time from your workspace settings; cancellation takes effect at the end of the current billing period.
5. Customer data
You retain all rights to the data you upload to Tūhono ("Customer Data"). You grant us a limited licence to host, copy, transmit, and display Customer Data solely as needed to provide the service. We process Customer Data in accordance with our Privacy Policy; a Data Processing Addendum is available to enterprise customers on request.
6. Intellectual property
Tūhono, including all software, designs, trademarks, and documentation, is owned by Haumaru and its licensors and is protected by intellectual-property laws. You receive a limited, non-exclusive, non-transferable licence to use the service for your internal business purposes during your subscription. Any feedback you provide may be used by us without restriction.
7. Confidentiality
Each party agrees to protect the other's non-public information with the same care it uses to protect its own confidential information (and at least a reasonable standard of care), and to use it only to perform under these Terms.
8. Warranties & disclaimers
Except as expressly set out in these Terms, the service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. Nothing in these Terms excludes liability that cannot lawfully be excluded (including under the New Zealand Consumer Guarantees Act 1993 where it applies).
9. Limitation of liability
To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or revenue. Our total aggregate liability arising out of or relating to these Terms will not exceed the fees you paid to Tūhono in the 12 months preceding the event giving rise to the claim (or NZD 100 if you are on a free plan).
10. Indemnity
You will defend and indemnify Tūhono and Haumaru against third-party claims arising from your Customer Data, your use of the service in breach of these Terms, or your violation of law.
11. Termination
- You can stop using Tūhono and delete your workspace at any time.
- We may suspend or terminate your account for material breach with reasonable notice (immediately for serious breaches such as illegal use).
- After termination, we provide a 30-day window for you to export your Customer Data. After that window we delete or anonymise it in line with our retention schedule.
12. Governing law
These Terms are governed by the laws of New Zealand, and the parties submit to the exclusive jurisdiction of the courts of Auckland, New Zealand, for any dispute arising out of them.
13. Changes to these Terms
We may update these Terms from time to time. If a change is material, we will give you at least 30 days' notice by email and via an in-app banner. Continuing to use Tūhono after the change takes effect means you accept the updated Terms.
